Sun Pharmaceutical Industries has announced a landmark agreement to acquire US-based Organon & Co. for $11.75 billion, marking the largest overseas acquisition in the history of the Indian pharmaceutical sector. Under the terms of the agreement, Sun Pharma will purchase all outstanding shares of Organon at $14 per share in an all-cash transaction, significantly enhancing Sun’s portfolio and global reach.

Organon, a global healthcare company established as a spinoff from Merck in 2021, specializes in women’s health and general medicines, boasting a diverse portfolio of over 70 products. These include biosimilars marketed across 140 countries, with major markets in the US, Europe, China, Canada, and Brazil. The company operates six manufacturing facilities in the European Union and emerging markets, positioning it as a key player in the pharmaceutical landscape.

Dilip Shanghvi, Executive Chairman of Sun Pharma, emphasized that Organon’s extensive portfolio and capabilities complement Sun’s existing strengths. He stated, “Bringing the two organizations together can create a stronger and more diversified platform.” This acquisition aligns with Sun Pharma’s strategy to enhance its innovative medicines business and positions the company for significant growth in the biosimilars market.

Organon reported impressive financials for the year ending December 31, 2025, with revenues of $6.2 billion and adjusted EBITDA of $1.9 billion. However, the company also carries a debt of $8.6 billion alongside a cash balance of $574 million. The recent divestment of a women’s health product for $440 million will further bolster its cash reserves, enhancing its financial standing ahead of the impending merger.

The acquisition comes at a pivotal time as Sun Pharma seeks to strengthen its foothold in the US market, especially in light of potential tariffs that could impact foreign pharmaceutical companies. This transaction not only enhances Sun Pharma’s established brands and branded generics business but also propels it into the top tier of global biosimilar companies.

Once the transaction is finalized, Sun Pharma will emerge as one of the top 25 pharmaceutical companies worldwide, with a combined revenue of approximately $12.4 billion. The merged entity is projected to generate 27% of its revenue from innovative medicines and become the seventh-largest player in the global biosimilars market, with a presence in 150 countries.

The boards of directors of both Sun Pharma and Organon have approved the transaction, which is contingent upon customary regulatory approvals and approval by Organon’s stockholders. The merger is expected to close in early 2027, paving the way for a new phase of growth and innovation for both companies.

In terms of financing, Sun Pharma plans to utilize a mix of available cash resources and committed financing from banking partners. This strategic acquisition not only strengthens Sun Pharma’s business model but also positions it as a formidable competitor in the global pharmaceutical arena.

As the deal progresses, industry analysts and stakeholders will be closely monitoring the integration process and the realization of potential synergies, which could lead to significant revenue growth in the coming years.
