Cybersecurity firm Proofpoint, owned by private equity giant Thoma Bravo, is reportedly in discussions to acquire Varonis, a move that could bring together two prominent players in the data security space.
Miami-based Varonis provides cybersecurity and data governance solutions, including data classification for cloud storage environments and tools for monitoring employee behaviour. The company employs more than 2,400 people across 14 offices globally.
A potential acquisition would expand Proofpoint’s capabilities in protecting sensitive corporate data and managing access to critical information. While Proofpoint’s portfolio primarily focuses on helping organizations defend against cyberattacks, Varonis offers a broader suite of data security and governance technologies, including AI-native data protection and solutions designed to counter AI-driven threats.
Thoma Bravo acquired Proofpoint in 2021 in a take-private transaction valued at approximately $12.3 billion.
Last month, Proofpoint announced the launch of its OEM Program, designed to enable technology providers and cybersecurity vendors to integrate its threat intelligence and detection tools into their own offerings. Proofpoint stated that the programme aims to reduce the time, cost, and operational complexity involved in building and maintaining large-scale threat intelligence capabilities internally.
In February 2026, Proofpoint and Concentrix formed a partnership to deliver cybersecurity services throughout the Asia Pacific region.
